These Terms of Service (“Terms”) govern the use of the services provided by Unpac (“Unpac,” “we,” “our,” or “us”) through our website, platform, and related applications (collectively, the “Services”). By creating an account, accessing, or using the Services, the business you represent (“Client,” “you,” or “your”) agrees to be bound by these Terms.
These Terms take effect when a Client or its Authorized Users first access or use the Services and remain in force until terminated in accordance with Section 15.
Unpac provides subscription-based access to its Services as described on our website, dashboard, or documentation. Clients may select subscription plans via our website or account portal. For enterprise clients, separate written agreements may apply. In the event of conflict, such agreements will prevail.
Subject to these Terms, Unpac grants Client a limited, non-exclusive, non-transferable right to allow Authorized Users to access and use the Services for internal business purposes during the subscription Term.
If applicable, Unpac grants Client a license to use the API solely for integration with the Services, subject to usage limits communicated by Unpac.
Client shall not, and shall ensure Authorized Users do not: share access credentials; reverse engineer or attempt to derive source code; use the Services for unlawful or harmful purposes; remove proprietary notices; exceed permitted API usage.
Client must ensure Authorized Users comply with these Terms, maintain secure access credentials, and use the Services lawfully. Client is responsible for obtaining internet access, hardware, and software necessary for use of the Services.
Fees are based on the subscription plan selected by Client on our website or account portal. Subscriptions renew automatically unless cancelled prior to the renewal date.
Payments are processed via credit card, ACH, or invoice through third-party payment processors. Enterprise clients may be invoiced directly in accordance with agreed billing terms.
Fees exclude applicable taxes, which will be charged as required by law.
If these Terms are terminated other than due to Client breach, Unpac will refund prepaid Fees on a pro-rata basis for unused Services.
Unpac provides support for Clients via team@unpac.app. Planned maintenance will be notified at least 5 Business Days in advance; unplanned maintenance will be notified promptly. Unpac will use reasonable efforts to resolve service-impacting issues within 2 Business Days.
All rights in the Services, the Unpac Platform, and related software remain with Unpac or its licensors. Client Data remains the property of the Client. Client grants Unpac a limited license to process Client Data during the Term to provide the Services, and thereafter only in aggregated and anonymized form to improve the Services.
Client is responsible for ensuring Client Data is lawful and accurate. To the extent Client Data includes personal data, Client acts as controller and Unpac as processor. The Data Processing Addendum in Annex 1 applies.
Both parties shall implement reasonable security measures. Unpac will notify Client without undue delay, and within 72 hours where required, of any confirmed Security Incident affecting Client Data.
Each party shall keep the other's Confidential Information confidential and only disclose it where necessary for the provision or receipt of the Services, or as required by law.
Unpac warrants it will provide the Services with reasonable skill and care. Except as expressly stated, the Services are provided “as is” and Unpac disclaims all other warranties to the fullest extent permitted by law.
Each party's total liability under these Terms shall not exceed the Fees paid by Client in the 12 months prior to the claim. Neither party will be liable for indirect or consequential damages. Nothing limits liability for death, personal injury, fraud, or other liability that cannot be excluded by law.
Unpac may suspend access to the Services if Client fails to pay Fees, violates these Terms, or where required by law. Fees remain payable during suspension.
Either party may terminate these Terms if the other materially breaches and fails to remedy within 30 days of notice, or becomes insolvent. Upon termination, Client must stop using the Services and Unpac will delete or return Client Data in accordance with Annex 1.
With Client's prior written consent, Unpac may identify Client by name and logo in its website and marketing materials. Case studies require Client approval, not to be unreasonably withheld.
Notices under these Terms must be in writing and delivered by hand, courier, or email to the addresses specified in the Client's account or as otherwise notified.
These Terms constitute the entire agreement between the parties in relation to the Services. Neither party may assign without consent, except in connection with a merger or acquisition. These Terms are governed by the laws of New South Wales, Australia, with exclusive jurisdiction of the courts of Sydney, NSW.
This DPA applies where Unpac processes personal data on behalf of Client in connection with the Services.
It includes: subject matter and duration of processing; nature and purpose of processing; categories of data and data subjects; Unpac's obligations as processor; subprocessors; international transfers; security measures; breach notifications; and audit rights.
Unpac will not sell or share personal data. The DPA is intended to satisfy requirements of GDPR, UK GDPR, and CCPA/CPRA.
Authorized User: An individual authorized by Client to access and use the Services.
Business Day: A day other than a Saturday, Sunday, or public holiday in New South Wales, Australia.
Client Data: All data submitted by or on behalf of Client or Authorized Users in connection with the Services.
Confidential Information: Non-public information disclosed by one party to the other that is designated as confidential or should reasonably be understood to be confidential.
Data Processing Addendum: The addendum included in Annex 1 regarding personal data processing.
Documentation: Guides, FAQs, and other materials provided by Unpac describing the Services.
Force Majeure: Events beyond a party's reasonable control, including natural disasters, internet outages, and cyberattacks.
Intellectual Property Rights: All patents, copyrights, database rights, trade secrets, trademarks, and other intellectual property rights.
Personal Data: Any information relating to an identified or identifiable natural person.
Security Incident: A confirmed breach of security leading to accidental or unlawful destruction, loss, alteration, unauthorized disclosure of, or access to Client Data.
Services: The cloud-based services provided by Unpac via its platform and related APIs.
Unpac Platform: The software platform operated by Unpac to deliver the Services.
Virus: Malicious code such as malware, ransomware, or spyware that may harm systems or data.
Interpretation rules: Headings are for convenience only; 'including' means without limitation; references to writing include email; references to laws include amendments and subordinate legislation.
